2. About these terms
These Terms of Use govern your access to and use of the DeliveryPro website, online platform, driver applications, customer tracking services and related digital services. Please read them carefully before using our services.
A separate subscription agreement, order form, service agreement or data processing agreement may apply to an organisation's use of DeliveryPro. Where those terms address the same subject and conflict with these terms, the specific agreement takes precedence for that service.
3. Using DeliveryPro
DeliveryPro connects the stages of vehicle movement, from creating a delivery or collection to recording the final handover. Available functionality depends on your organisation, permissions and agreed services. We may add, change or remove functionality from time to time.
- Creating and managing vehicle deliveries and collections, scheduling jobs and assigning drivers.
- Viewing journey progress, vehicle location, estimated arrival times and operational updates.
- Communicating delivery information to drivers, customers, dealers and fleet operators.
- Recording vehicle inspections, condition, mileage, photographs, damage and driver notes.
- Supporting customer verification, collecting handover signatures and compiling evidence records.
4. Information and evidence you provide
Information you provide must be accurate, complete, not misleading and kept reasonably up to date where appropriate. This includes vehicle details, delivery addresses, customer details, driver assignments, inspection reports, photographs and handover records.
You must not impersonate another person, knowingly submit false evidence or use another person's information without authority. You must have appropriate authority and a lawful basis to upload and share personal information and notify affected people as required by law.
Incorrect or incomplete information may affect planning, tracking, verification and handover. The organisation arranging the movement remains responsible for checking instructions, the recipient's authority and the accuracy and completeness of evidence.
5. Accounts and security
Some services require an account or identity verification. Keep account credentials, verification codes and customer tracking links secure, and share access only with authorised recipients. Organisations are responsible for administering their users and permissions.
Do not disclose credentials, access another person's account without authority or circumvent access controls. Contact us promptly if you believe an account or tracking link has been compromised. We may restrict access where reasonably necessary to protect users or the service from fraud, misuse or security threats.
6. Acceptable use
Use DeliveryPro lawfully and responsibly. You must not:
- Use the service for unlawful or fraudulent purposes or to infringe intellectual property, privacy or other rights.
- Access systems or data without authority, bypass security controls, introduce malware or interfere with service availability.
- Scrape, harvest or systematically extract information without permission, or use automation that places an unreasonable load on the service.
- Reverse engineer software except where applicable law expressly permits it.
- Falsify location, inspection, identity verification, signature or handover records, or track individuals without appropriate authority and required notices.
- Use the service in a way that could damage DeliveryPro, our customers, partners or other users.
7. Vehicle movement and third-party responsibilities
DeliveryPro provides technology for coordinating and documenting vehicle movements. Ovon Group Ltd is not automatically the transporter, driver, vehicle owner, insurer or contracting delivery provider simply because a movement is managed through the platform.
The relevant dealer, fleet operator, transporter or other organisation is responsible for its delivery arrangements, driver authorisations, licences, insurance, vehicle roadworthiness and compliance with applicable transport, employment, safety and data protection obligations.
Tracking information and arrival estimates may be affected by connectivity, device settings, GPS accuracy, traffic and delayed synchronisation. They are not a guarantee of arrival time. Drivers must comply with road safety laws and must not operate the application in an unsafe manner.
Inspection, verification and handover records support the movement process but do not replace appropriate physical checks, professional assessments or the parties' contractual obligations. A recorded signature does not, by itself, settle every question of ownership, liability or vehicle condition.
8. Third-party websites and services
DeliveryPro may link to or integrate with third-party services, including mapping, communications, identity verification and other automotive systems. We are not responsible for the content, availability or operation of services outside our control. Third parties may have their own terms and privacy notices.
9. Availability
We aim to provide reliable access but do not guarantee uninterrupted or error-free service. Maintenance, updates, technical faults, telecommunications failures, third-party outages, security incidents or circumstances outside our reasonable control may affect availability.
We may suspend, withdraw or restrict services where reasonably necessary and will seek to minimise disruption where practical. Any separately agreed service levels are governed by the relevant service agreement.
10. Intellectual property and uploaded records
The DeliveryPro platform, website, software and content created by us are protected by intellectual property laws and owned by Ovon Group Ltd or its licensors. You may use them for their intended purpose. You may not copy, modify, distribute, commercially exploit or create derivative works without permission, except where these terms or applicable law permit it.
Third-party names, trademarks and content remain the property of their respective owners. Uploading your organisation's records does not transfer ownership of those records to us; you authorise their processing as necessary to provide the service, subject to the applicable agreement and data protection requirements.
11. Website information and quotations
We take reasonable care to keep published information accurate. General website information is informational and may not reflect your individual circumstances or agreed service. Unless expressly stated otherwise, displayed information and quotations are not binding offers. Pricing, availability and contract formation are governed by the applicable order or service terms.
12. Our responsibility to you
Nothing in these terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.
We are responsible for losses that are a foreseeable result of our breach of these terms or failure to use reasonable care and skill. We are not responsible for losses that were not reasonably foreseeable when you began using the relevant service. If you use DeliveryPro as a consumer, nothing in these terms affects your statutory rights.
Additional contractual terms may apply to business users and take precedence where they specifically address the business's use of DeliveryPro. If you act for an organisation, you confirm that you are authorised to do so.
13. Privacy
Our Privacy Policy explains the information we collect, why we process it, who we share it with, retention and your rights. Where we process delivery and driver information on behalf of an organisation, that organisation's privacy notice and the relevant data processing agreement may also apply.
14. Electronic communications
We may communicate electronically about your account, vehicle movements, enquiries or services, including by email, SMS, notifications or messages within DeliveryPro. Keep contact details current and review relevant communications. Service communications are separate from marketing, which is governed by applicable law and your preferences.
15. Suspension and termination
We may suspend or terminate access where reasonably necessary because of a material breach, suspected fraud or unlawful activity, security risk, legal requirement, the end of a contractual relationship or discontinuation of a service. Where appropriate and reasonably practicable, we will provide notice before termination.
Ending platform access does not automatically cancel a separate vehicle delivery arrangement or other third-party contract. Data export, return, deletion and retention are subject to the applicable service and data processing agreements and legal obligations.
16. Changes to these terms
We may update these terms to reflect changes in services, law, security requirements or platform operations. The latest version will be published here. Where a change materially affects an ongoing service and notification is appropriate, we will take reasonable steps to notify affected users.
If a provision is unlawful or unenforceable, the remaining provisions continue to apply. A delay in enforcing a provision does not waive our right to enforce it later.
17. Governing law
These terms are governed by the laws of England and Wales. Consumers elsewhere in the United Kingdom may also benefit from mandatory protections under the laws where they live and may bring proceedings in the courts available under applicable law. For business users, the courts of England and Wales have exclusive jurisdiction unless separate contractual terms provide otherwise.
